These Terms and Conditions apply to the provision of services between Action Hampshire: a company registered in England and Wales under the name Community Action Hampshire, number 03162873 whose registered office is at Westgate Chambers, Staple Gardens, Winchester, SO23 8SR (We or Us) and You (our members).

These terms of business are deemed to be accepted from the point at which an application to become a member of Action Hampshire is submitted to us.

Members of Action Hampshire must pay an annual fee to join. Once you become a member you can access a range of services and benefits, the provisions set out in these terms of business apply to all services and benefits provided by us. Some services will have additional terms and conditions that will be issued at the point at which they are accessed by members.

Membership

Members will either be:

1. Not-for-profit members, who fall into one of more of the following categories:

  • Charities, including exempt and excepted charities, which are also private limited companies by guarantee;
  • CICs limited by guarantee;
  • CICs limited by shares;
  • CIOs;
  • Charitable trusts / associations (unincorporated)
  • Co-operatives;
  • Community benefit societies;
  • Unincorporated groups or individuals (including sole traders)
  • Associate members who are private or public sector organisations with an interest in the not-for-profit, community or social enterprise sector, this includes social enterprises that are private ltd companies.

Not-for-Profit Members of Action Hampshire have certain constitutional rights and limited liability as set out in the Articles of Association, a copy of which can be viewed on the Companies House Website. These constitutional rights do not apply to Associate members as they are non-voting members.

At the point of submission, applications for membership will be considered by the Action Hampshire Board of Trustees who meet on a on a bi-monthly basis; they retain the right to refuse membership with retrospective effect. If membership to Action Hampshire is refused at any stage of the application process a refund will be issued.

Action Hampshire retains the right to review and revoke membership at any time.

The decision to grant, refuse or revoke membership by the board of Trustees is final.

Member benefits

Members are entitled to benefits from the date on which they join/renew until the earlier of

(a) the anniversary of their joining/renewing or
(b) in the highly unlikely event Action Hampshire ceases its operations, the date upon which this event falls.

Members will be issued with a membership ID which may be requested by Action Hampshire prior to granting access to member benefits.

The specific benefits of membership are provided at the full discretion of Action Hampshire and may be varied from time to time without prior notice.

Action Hampshire will recommend an annual membership fee based on your most recently reported annual turnover. However, members will be able to choose the level of membership that best meets their requirements.

Membership applies for a term of 1 year, starting on the day of joining/renewing.

Membership payment must be made in full before any membership benefits can be accessed.

Members can change their level of membership at any time by making a request to do so in writing to [email protected].

If membership payment remains outstanding, we will notify you by telephone, email or letter.

Membership fees paid are not refundable, including in the highly unlikely event that Action Hampshire ceases operations.

Some membership fees include VAT which is added at the rate applicable at the time of the purchase. Members will receive an invoice detailing VAT.

Renewal

For members who pay by annual direct debit, an email notification will be sent four weeks prior to the renewal date indicating the cost of the renewed membership and the date the payment will be taken. Payment is usually taken on the first day of the renewal month or last working day of the previous month.

For members who pay their annual subscription online, email renewal reminders will be sent 4 weeks before the membership expires.

If membership lapses, members cannot access member benefits until membership is renewed. If membership is renewed within 4 weeks of it lapsing it will be reactivated from the original date of expiry.

If membership is not renewed within four weeks of lapsing members will be required to submit a new membership application.

Cancellation

Members may cancel their membership at any time, but the annual membership fee will not be refunded.

Members must notify Action Hampshire in writing if they wish to cancel membership either by email at [email protected] or by post to Action Hampshire, Westgate Chambers, Staple Gardens, Winchester, SO23 8SR

Data protection

When applying for membership members agree that:

  • The contact information supplied may be used by Action Hampshire to send promotional information relating to member benefits and potentially relevant opportunities.
  • The contact information supplied may be used by Action Hampshire to send out sector and policy updates.
  • The details supplied will be stored by Action Hampshire electronically in order to process applications, invoices and otherwise administer membership services.

All data pertaining to members will be stored and processed in accordance with Action Hampshire’s Information Governance, Data Protection and Privacy Policies copies of which are available upon request from [email protected].

Limitation of Liability

We strive to provide high quality, accurate information but this should not be regarded as an authoritative statement of the law or a substitute for independent legal advice from a qualified individual or organisation.

By accepting these terms of business members agree to notify Action Hampshire without delay, should they wish to complain about any aspect of the service they have accessed. Complaints will be handled in line with the Action Hampshire complaints policy which is available upon request from [email protected]rg.

If the matter cannot be resolved Action Hampshire’s liability will be limited to the total amount of fees payable by you.
Action Hampshire will not be liable, by reason of breach of contract, negligence, failures in performance beyond reasonable control or otherwise for any third-party for damages, including lost profits or anticipated lost profits, lost business, lost savings or other incidental, consequential or special damages. Action Hampshire will also not be liable for any losses caused directly or indirectly from choice of services and how well they meet the requirements of the member.

If any provision set out under these terms and conditions is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

Changes to terms and conditions

Action Hampshire reserves the right to change or update the terms and conditions without prior notice.
